Terms & Conditions
Draft for review. This document is a working draft. The highlighted fields still need real values, and it has not been reviewed by a lawyer. Remove this box before publishing.
These terms explain what you may do with the apps we make, what you can expect from us, and what we expect from you. We have tried to keep them readable. Where the law gives you rights as a consumer, those rights always win over anything written here.
1. Who we are
This website and the applications described on it are operated by RENDEROFF OÜ, a private limited company registered in Estonia under registry code [registry code], with its registered address at [street address], Tallinn, Estonia. Our VAT number is [VAT number, or delete if not VAT-registered].
In these terms we call ourselves “RENDEROFF”, “we”, “us” or “our”. We call you “you” or “your”. You can reach us at hello@renderoff.com.
2. What these terms cover
These terms apply when you:
- visit or use renderoff.com and its subdomains;
- download, install, activate or use any RENDEROFF application for macOS, iOS or iPadOS (each an “App”);
- buy a licence for an App, either from us directly or through a distribution platform; or
- contact us for support.
By installing or using an App you accept these terms. If you do not accept them, please do not install or use the App, and stop using it if you already have.
If you are entering into these terms on behalf of a company or other organisation, you confirm that you are authorised to do so, and “you” means that organisation.
3. Definitions
- App
- Any software application we publish, including Orange Timer and Locky Mocky, together with its documentation, updates and bundled assets.
- App Store
- Apple’s Mac App Store or App Store, operated by Apple Inc. and its subsidiaries.
- Direct Purchase
- A licence bought from us through our own website rather than through the App Store.
- Licence Key
- A code, receipt or account credential that activates a Direct Purchase.
- Consumer
- A natural person acting for purposes outside their trade, business, craft or profession, as defined in Estonian and EU consumer law.
4. Your licence to use our apps
4.1 What you get. When you obtain an App we grant you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use that App on devices you own or control, for your own personal purposes or for the internal business purposes of your organisation.
4.2 A licence, not a sale. Apps are licensed to you, not sold. We keep every right we do not expressly grant you here.
4.3 Apps obtained from the App Store. If you obtained an App from the App Store, Apple’s Licensed Application End User Licence Agreement also applies, along with the App Store Terms of Service. Where those Apple terms conflict with these terms in respect of an App Store copy, the Apple terms prevail to the extent of the conflict. You acknowledge that Apple has no obligation to provide support or maintenance for our Apps, and that Apple is a third-party beneficiary of these terms with the right to enforce them against you.
4.4 Number of devices. For a Direct Purchase, one licence covers use by a single named person on the devices they own or control, unless the purchase page says otherwise. Volume, family and team licences are available on request.
4.5 Free apps and free tiers. Where an App or a feature is offered free of charge, these terms still apply, except for the sections that deal with payment.
5. What you may not do
You agree not to:
- copy, distribute, resell, rent, lease, lend, sublicense or otherwise make an App available to anyone else, except as these terms allow;
- modify an App, or create derivative works based on it;
- reverse engineer, decompile or disassemble an App, or attempt to derive its source code, except to the extent that this restriction is expressly prohibited by mandatory applicable law — including your rights to decompile for interoperability under Article 6 of Directive 2009/24/EC and the corresponding provisions of Estonian law;
- circumvent, disable or interfere with licence checks, trial limits, activation, or any security or access-control mechanism;
- share, publish or resell a Licence Key;
- remove or obscure any copyright, trademark or other proprietary notice;
- use an App to break the law, to infringe someone else’s rights, or to build a directly competing product.
If you breach this section, your licence ends automatically and we may deactivate the relevant Licence Key.
6. Ownership and intellectual property
We and our licensors own all intellectual property rights in the Apps, this website, and the RENDEROFF name, logo and app icons. Nothing in these terms transfers any of those rights to you.
Our Apps include third-party open-source components, which are licensed to you under their own licence terms rather than this section. Those licences and the required notices are listed in each App’s acknowledgements screen, and where an open-source licence conflicts with these terms, the open-source licence governs that component.
Anything you create with an App — your notes, files, timers, settings and other content — remains entirely yours. We claim no rights over it.
7. Purchases, prices and payment
7.1 App Store purchases. When you buy through the App Store, the transaction is between you and Apple. Apple is the merchant of record and handles payment, taxes, receipts and refunds under its own terms. We do not receive or process your payment details.
7.2 Direct purchases. Direct Purchases are processed by our payment provider, [payment provider, e.g. Paddle / Lemon Squeezy / Stripe]. Where that provider acts as merchant of record, its terms also apply to the payment, and it will appear on your statement. Prices are shown in [EUR / USD] and are stated inclusive or exclusive of VAT as indicated at checkout; the applicable VAT is determined by your location.
7.3 Licence keys. Keep your Licence Key confidential. We may deactivate a key that has been shared publicly, obtained fraudulently, or paid for by a payment that was later reversed or charged back.
7.4 Price changes. We may change our prices at any time. Changes never apply retroactively to a licence you have already bought.
7.5 Subscriptions. If an App is offered on a subscription, the billing period, renewal date and cancellation method are shown before you buy. Subscriptions renew automatically until cancelled. You can cancel an App Store subscription in your Apple account settings, and a Direct Purchase subscription through the link on your receipt or by writing to us. Cancelling stops future renewals; it does not retroactively refund the current period except where the law requires it.
8. Right of withdrawal and refunds
8.1 The 14-day right. If you are a Consumer resident in the European Union, European Economic Area or United Kingdom, you normally have 14 days to withdraw from a distance contract without giving a reason.
8.2 The digital content exception. Our Apps are digital content supplied without a tangible medium. When you download or activate an App during the 14-day period, you expressly request that we begin performance immediately and you acknowledge that you thereby lose your right of withdrawal once performance has begun. This follows Article 16(m) of Directive 2011/83/EU and the corresponding provisions of the Estonian Law of Obligations Act. We ask you to confirm this at checkout.
8.3 Before you buy. Because of 8.2, we publish a free trial for most Apps. Please use it. It is the most reliable way to find out whether an App suits you.
8.4 App Store refunds. Refunds for App Store purchases are handled entirely by Apple through reportaproblem.apple.com. We cannot issue them on Apple’s behalf.
8.5 Goodwill refunds. Independently of anything above, if an App genuinely does not work for you, write to us within 30 days of a Direct Purchase and we will normally refund you. We would rather have a happy former customer than an unhappy current one.
8.6 Your statutory rights. None of this affects your legal rights if the App is faulty, not as described, or otherwise not in conformity with the contract, including your rights under Directive (EU) 2019/770 on contracts for the supply of digital content and digital services.
9. Updates, changes and discontinuation
We may release updates that fix bugs, add features, or keep an App working with new versions of macOS, iOS or iPadOS. Some updates are necessary for an App to keep functioning, and where the law requires it we will supply the updates needed to keep the App in conformity for as long as you can reasonably expect.
We may change or remove features. If a change materially reduces what a paid App does, we will tell you in advance and, where that is reasonable, offer you a refund or an alternative.
We may stop selling or supporting an App. If we do, we will give reasonable notice, and you may keep using the last version we released to you under the licence you already hold, subject to these terms.
10. Trials, betas and pre-release software
Trials, betas and anything labelled alpha, preview or “coming soon” are provided for evaluation only, as is, and may be incomplete or unstable. They may stop working, may change without notice, and may never be released. Do not rely on pre-release software for important data, and keep back-ups.
If we give you access to a beta, we may ask you to keep it confidential; we will say so clearly at the time.
11. Support
We provide support by email at support@renderoff.com. RENDEROFF is a small operation, so we do not promise a fixed response time unless we have separately agreed one with you in writing. We aim to reply within [e.g. two business days].
Apple is not responsible for providing support for our Apps.
12. Acceptable use of this website
You agree not to:
- use the website unlawfully or for any fraudulent purpose;
- attempt to gain unauthorised access to it, or to any server or database behind it;
- introduce malware, or attack the site by denial of service or otherwise;
- scrape or harvest it systematically, other than by well-behaved search engine crawlers.
13. Privacy and personal data
RENDEROFF OÜ is the data controller for personal data we process about you. We process it in line with the General Data Protection Regulation (EU) 2016/679 and the Estonian Personal Data Protection Act.
Our Apps are designed to keep your content on your device wherever that is technically possible. Full detail on what we collect, why, how long we keep it, and who processes it on our behalf is set out in our Privacy Policy, which forms part of these terms.
You have the right to access your personal data, to have it corrected or erased, to restrict or object to its processing, and to receive it in a portable format. Write to privacy@renderoff.com to exercise any of these. You may also complain to the Estonian Data Protection Inspectorate (Andmekaitse Inspektsioon, aki.ee) or to the supervisory authority where you live.
14. Third-party services
Our website and Apps may link to or integrate with services we do not control — app stores, payment providers, cloud storage, and similar. We are not responsible for those services, their content or their terms. Your use of them is governed by their own agreements with you.
15. Back-ups and your data
You are responsible for maintaining back-ups of anything important to you. This matters particularly for Apps that manage files, notes or credentials: keep an independent copy, and make sure you can recover any password or biometric credential an App depends on. We cannot recover data or unlock content that only exists on your device.
16. Warranties and disclaimers
We build these Apps carefully and use them ourselves every day. Even so, to the fullest extent permitted by law, the Apps and this website are provided “as is” and “as available”, and we do not warrant that they will be uninterrupted, error-free, or fit for any particular purpose you have in mind.
Nothing in this section limits your statutory rights as a Consumer, including your right to a remedy where digital content is not in conformity with the contract. Some jurisdictions do not allow the exclusion of implied warranties, in which case the exclusions above may not apply to you.
17. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, or loss or corruption of data arising from your use of an App or this website.
Where we are liable, our total liability arising out of or in connection with an App is limited to the greater of the amount you paid us for that App in the 12 months before the event giving rise to the claim, or EUR 100.
These limits do not apply to: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; our intentional misconduct or gross negligence; liability under the EU product liability regime; or any other liability that cannot lawfully be excluded or limited. If you are a Consumer, your mandatory statutory rights are unaffected.
18. Term and termination
These terms apply for as long as you use an App or this website. Your licence ends automatically if you materially breach these terms and do not fix the breach within a reasonable period after we ask you to.
You may end your licence at any time by uninstalling the App and deleting your copies. Ending a licence does not by itself entitle you to a refund.
Sections 5, 6, 13, 15, 16, 17, 20 and 21 survive termination.
19. Changes to these terms
We may update these terms as our Apps and the law change. The “Last updated” date at the top always shows the current version.
If a change materially affects your rights, we will give you reasonable notice — by email where we have your address, or by a notice on this website or in the App. Changes are not retroactive and will not reduce the rights attached to a licence you have already paid for. Continuing to use an App after a change takes effect means you accept the updated terms.
20. Governing law and disputes
These terms are governed by the laws of Estonia, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
If you are a Consumer, this choice of law does not deprive you of the protection given to you by the mandatory consumer law of the country where you live, and you may bring proceedings in the courts of that country. Otherwise, the courts of Estonia (Harju County Court) have exclusive jurisdiction.
Out-of-court resolution. Please write to us first — most things are settled in one email. If we cannot resolve it, Consumers in Estonia may refer the dispute to the Consumer Disputes Committee (Tarbijavaidluste komisjon) at the Consumer Protection and Technical Regulatory Authority, tarbijakaitse.ee. Consumers elsewhere in the EU may use their national alternative dispute resolution body.
21. General
Entire agreement. These terms, together with the Privacy Policy and any purchase-specific terms shown at checkout, are the whole agreement between us about the Apps.
Severability. If any provision is found unenforceable, the rest stays in force and the unenforceable provision is replaced by an enforceable one that comes closest to its intent.
No waiver. If we do not enforce a right straight away, we do not give it up.
Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor in connection with a merger, acquisition or sale of assets, provided your rights are not reduced.
Force majeure. Neither of us is liable for failing to perform because of events genuinely beyond our reasonable control.
Language. These terms are written in English. If we publish a translation and the versions differ, the English version governs, unless mandatory law in your country provides otherwise.
